Terms of Service

These Terms of Service govern your engagement with Offcut Media, operated by Paurush Grover. By inquiring about, purchasing, or using any of our services, you agree to be bound by these Terms. Please read them carefully before proceeding. If you do not agree, please do not engage our services.

Offcut Media is a content and community growth service providing video editing, thumbnail design, content strategy, and Skool community management. The business is operated by an individual service provider under Indian law and is not a registered company.

Description of Services

We offer the following categories of services:

  • Long-Form Video Editing — YouTube videos, documentary edits, educational content
  • Shorts & Clips — Short-form content for YouTube Shorts, Instagram Reels, TikTok
  • Thumbnail Design — Custom thumbnail creation and A/B variants
  • Publishing Assets — Channel art, cover images, and platform-specific design
  • Design & Branding — Motion graphics, intro/outro, brand identity for creators
  • Community Growth — Skool community strategy and management
  • Content Strategy — Niche research, content calendars, competitive analysis

The specific scope, deliverables, timelines, and fees for each engagement are confirmed in a Scope of Work (SOW), proposal, or invoice agreed to before work begins.

Eligibility

By engaging our services, you confirm that you:

  • Are at least 18 years of age
  • Have the legal capacity to enter into binding contracts
  • Are engaging our services for lawful business purposes
  • Will provide accurate and complete information when requested

Payments & Billing

One-Time Projects

One-time project fees are as stated in your invoice or SOW. Unless otherwise agreed in writing, payment terms are 50% upfront before work begins, and 50% upon delivery of final files.

Retainer Packages

For ongoing monthly retainer engagements, billing is collected automatically on or around the same date each month via Stripe. Your retainer begins on the date your first payment is processed.

Currency

All prices are quoted in the currency specified in your invoice, which may be Indian Rupees (INR) or US Dollars (USD). Currency conversion fees, if any, are the client's responsibility.

Payment Processing

All payments are processed securely by Stripe, Inc. By making a payment, you agree to Stripe's Terms of Service, available at stripe.com/legal. We do not store your card details. See our Privacy Policy for details on how payment data is handled.

Late Payments

If a payment is not received within 7 calendar days of the due date, we reserve the right to pause or suspend work until full payment is received. Persistent non-payment may result in termination of the engagement under Section 14.

Refund & Cancellation Policy

Key Policy — Please Read Carefully

We offer a 14-day refund window from the date of payment. Refunds are only available if work on your project has not yet commenced. Once editing, design, or any substantive work has begun, no refund will be issued.

14-Day Refund Window

You may request a full refund within 14 days of your payment date, provided that work has not yet started. To request a refund, email hello@offcut.media with your invoice number and reason.

No Refunds Once Work Has Started

No Refund Condition

No refunds will be issued once work on your project has commenced. "Work commenced" means we have begun any substantive work on your deliverables, including but not limited to: reviewing your materials, beginning video editing, drafting strategy documents, designing assets, or any communication specifically related to your project deliverables.

Retainer Cancellation

You may cancel a monthly retainer by providing written notice to hello@offcut.media at least 14 days before your next billing date. No refunds will be issued for the current billing cycle if work for that period has commenced.

Processing Refunds

Approved refunds will be processed via Stripe to your original payment method within 5–10 business days. Processing times may vary depending on your bank or card issuer.

Deliverables & Intellectual Property

Ownership of Final Deliverables

Upon receipt of full payment, all final deliverables created specifically for you — including edited videos, thumbnails, and design assets — become your property. You may use them freely for your channel, business, and marketing purposes.

Our Creative Process & Tools

We retain ownership of all tools, templates, workflows, processes, and methodologies used to create your deliverables. Ownership of final output does not include ownership of the underlying creative infrastructure, source project files (unless explicitly agreed), or any proprietary systems we use.

Portfolio Rights

Unless you request otherwise in writing before project commencement, we reserve the right to display your completed deliverables in our portfolio, case studies, and marketing materials to showcase our work.

Third-Party Content

You are responsible for ensuring that any footage, music, imagery, or other content you provide to us is licensed for the intended use. We are not liable for any copyright infringement arising from materials you supply.

Client Obligations

To ensure we can deliver your project on time and to the agreed standard, you agree to:

  • Provide all required source materials (footage, brand assets, scripts, etc.) within agreed timeframes
  • Provide clear, consolidated feedback and approvals promptly
  • Designate one primary point of contact for the project
  • Not share works-in-progress or draft deliverables publicly without our consent
  • Ensure all content you provide complies with applicable platform policies and laws

Delays caused by failure to provide materials, feedback, or approvals may affect delivery timelines. We are not liable for project delays resulting from client-side inaction or late responses.

Revisions

The number of revision rounds included in each project is specified in your SOW or invoice. Revision rounds must be requested as consolidated feedback — not submitted piecemeal across multiple messages.

Additional revisions beyond the agreed number will be billed at our then-current hourly rate, which will be communicated to you before additional work proceeds.

Confidentiality

Both parties agree to keep confidential any non-public information shared during the engagement, including but not limited to: business strategies, content plans, channel performance data, client identities, and pricing agreements. This obligation continues for two years after the end of the engagement.

This clause does not prevent either party from disclosing information that is: (a) publicly available through no breach of this agreement; (b) already known prior to the engagement; or (c) required to be disclosed by law.

Warranties & Disclaimers

We warrant that our services will be performed with reasonable professional skill and care, and that deliverables will materially conform to the agreed scope of work.

We do not warrant that our services will achieve any specific outcome, including but not limited to: subscriber growth, view counts, revenue, engagement rates, or platform algorithm performance. Results vary based on client content quality, niche, posting frequency, platform policies, and factors entirely outside our control.

Limitation of Liability

To the maximum extent permitted under applicable Indian law, our total liability to you for any claim arising from or related to our services shall not exceed the total amount paid by you for the specific service giving rise to the claim in the 3 months preceding the claim.

We are not liable for any of the following, even if we have been advised of the possibility of such losses:

  • Indirect, incidental, or consequential damages
  • Loss of revenue, profits, subscribers, or engagement
  • Platform bans, monetisation suspensions, or algorithm changes
  • Third-party service failures (including Stripe, Calendly, Google, or YouTube)
  • Losses arising from your use or misuse of our deliverables

Indemnification

You agree to indemnify, defend, and hold harmless Offcut Media and Paurush Grover from any claims, damages, losses, costs, or expenses (including reasonable legal fees) arising from:

  • Your breach of these Terms of Service
  • Your use of our deliverables in a manner that infringes third-party intellectual property rights
  • Any content or materials you provide to us that violate applicable law
  • Your violation of any platform terms of service (YouTube, Instagram, TikTok, Skool, etc.)

Governing Law & Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of India. Any dispute arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.

Before pursuing formal legal action, both parties agree to attempt to resolve disputes through direct communication in good faith for a period of at least 30 days from the date the dispute is first raised.

Termination

Termination by Client

You may terminate an ongoing engagement by providing written notice to hello@offcut.media. You remain responsible for payment for all work completed up to the date of termination. Refunds for incomplete work are subject to our Refund Policy in Section 05.

Termination by Offcut Media

We reserve the right to terminate our engagement with you immediately, without refund, if you: (a) fail to make payment within 14 days of the due date; (b) engage in abusive, threatening, or unlawful conduct; (c) materially breach these Terms; or (d) request us to create content that violates applicable law or platform policies.

Force Majeure

We are not liable for any delay or failure to perform our obligations to the extent caused by circumstances beyond our reasonable control, including but not limited to: illness, internet or power outages, natural disasters, platform policy changes, acts of government, or other events of force majeure. We will notify you as soon as practicable and work to minimise the impact on your project.

Amendments

We reserve the right to amend these Terms of Service at any time. Updated terms will be published on this page with a revised "Last Updated" date. For clients with active engagements, material changes will be communicated via email. Your continued use of our services after such changes constitutes your acceptance of the revised Terms.

Entire Agreement

These Terms of Service, together with any Scope of Work, Service Agreement, or invoice agreed to between the parties, constitute the entire agreement between you and Offcut Media with respect to our services. They supersede all prior discussions, representations, and agreements.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
